Cerebral Code, LLC Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Assessment Assistant (the "Product") provided by Cerebral Code, LLC (the "Company"). By using the Product, you agree to be bound by these Terms. If you do not agree, you may not use the Product.

1. Acceptance of Terms

By accessing or using the Product, you represent that you are of legal age to enter into this agreement and have the authority to do so. If you are using the Product on behalf of an entity, you accept these Terms on behalf of that entity.

2. License and Restrictions

• The Company grants you a limited, non-exclusive, non-transferable, and revocable license to use the Product solely for its intended purpose.
• You may not modify, distribute, resell, reverse-engineer, or exploit the Product in any unauthorized way.
• Any use of the Product beyond what is explicitly permitted in these Terms requires prior written consent from the Company.

3. User Responsibilities

• You agree to use the Product in compliance with all applicable laws and regulations.
• You will not use the Product for any unlawful, fraudulent, or harmful activities.
• You are responsible for maintaining the security of your account credentials, if applicable.
• You must meet the criteria to become eligible to use the product by submitting the following information during account creation:
  • Legal name
  • Title
  • Email
  • Degree
  • Job role
  • License number and expiration
  • Licensing body and location
• You can understand how this information is collected, protected, and used by reading our Privacy Policy.

4. Modifications to the Product

• Company reserves the right to update, modify, or discontinue the Product at any time, with or without notice.
• We are not liable for any impact such changes may have on your use of the Product.

5. Disclaimers

• The Product is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• The Company does not guarantee that the Product will be error-free, uninterrupted, or meet your expectations.
• Any reliance on the Product is at your own risk.

6. Limitation of Liability

• To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Product.
• In no event shall the Company's total liability exceed the amount paid by you (if any) for the use of the Product.

7. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, and employees from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Product.

8. Termination

• The Company reserves the right to suspend or terminate your access to the Product at any time, with or without cause.
• Upon termination, your rights to use the Product will cease immediately.

9. Governing Law and Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of the United States of America and of the state of Colorado.
• Any disputes arising under these Terms shall be resolved through binding arbitration or in a court context.

10. Changes to These Terms

• We may update these Terms from time to time. If we make significant changes, we will notify you through appropriate means.
• Your continued use of the Product after changes are posted constitutes acceptance of the updated Terms.
